Terms of Service for GroupSend

Effective Date: November 11, 2025

Please read these Terms of Service ("Terms") carefully before using the GroupSend mobile application (the "App") operated by PHZVED, LLC ("we," "us," or "our").

1. Acceptance of Terms

By accessing or using GroupSend, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

2. Description of Service

GroupSend is a mobile application that allows users to:

• Organize contacts into groups
• Compose messages with optional media attachments
• Send individual messages to multiple recipients through Apple's native messaging system
• Maintain a local history of sent messages

3. User Accounts and Eligibility

You must be at least 13 years old to use GroupSend. By using the App, you represent and warrant that you meet this age requirement.

4. Subscription Terms

4.1 Free Tier

The free version of GroupSend includes:

• Up to 3 groups
• Up to 10 contacts per group
• Basic text messaging functionality

4.2 Premium Subscription

Premium subscriptions unlock:

• Unlimited groups
• Unlimited contacts per group
• Photo and video attachments
• Full message history access
• Priority customer support

4.3 Subscription Pricing

• Monthly Subscription: $2.99 per month
• Annual Subscription: $19.99 per year

Prices are in USD and may vary by location. Prices are subject to change with notice.

4.4 Billing and Renewal

Subscriptions are billed through your Apple ID account and are managed through the App Store. Payment will be charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

4.5 Managing Subscriptions

You can manage and cancel your subscriptions by going to your App Store account settings. Subscriptions may be managed and auto-renewal may be turned off by going to Account Settings after purchase.

4.6 Refunds

All purchases are processed through Apple's App Store and are subject to Apple's refund policies. We do not directly process refunds. To request a refund, please contact Apple Support or visit https://support.apple.com.

5. Acceptable Use Policy

You agree to use GroupSend only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Send spam, unsolicited messages, or harassing communications
• Use the App for any illegal activities
• Send messages containing malicious content, viruses, or malware
• Impersonate others or misrepresent your identity
• Violate any applicable laws or regulations regarding electronic communications
• Use the App to send bulk commercial messages without recipient consent
• Attempt to circumvent any limitations or restrictions of the App

6. User Responsibilities

You are solely responsible for:

• The content of messages you send through the App
• Obtaining proper consent from recipients before sending messages
• Complying with all applicable laws, including anti-spam regulations (CAN-SPAM Act, TCPA, etc.)
• Maintaining the security of your device and App data
• Any charges incurred from your mobile carrier for SMS/MMS messages

7. Intellectual Property

The App, including its original content, features, and functionality, is owned by PHZVED, LLC and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App without our express written permission.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted, secure, or error-free
• Messages will be delivered successfully to all recipients
• The App will be compatible with all devices or operating systems

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHZVED, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the App
• Any unauthorized access to or use of your data
• Any interruption or cessation of the App
• Any bugs, viruses, or other harmful code transmitted through the App
• Messages not delivered or delivered incorrectly

10. Apple App Store Requirements

These Terms are between you and PHZVED, LLC only, not with Apple Inc. Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support services for the App. If the App fails to conform to any applicable warranty, you may notify Apple for a refund; to the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the App.

11. Third-Party Services

GroupSend integrates with:

• Apple Messages: For sending messages, subject to Apple's terms
• RevenueCat: For subscription management, subject to RevenueCat's terms

You acknowledge that your use of these services is subject to their respective terms and privacy policies.

12. Termination

We reserve the right to suspend or terminate your access to the App at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

You may stop using the App at any time. Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Effective Date" at the top of these Terms. Your continued use of the App after any changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts located in Jacksonville, Florida.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PHZVED, LLC regarding the use of the App and supersede any prior agreements.
